MERGERS AND ACQUISITIONS ADVISORS
What do we do?
We
provide
advice
to
sellers
of
businesses,
which
includes
all
of
the
necessary
matters
needed
to
complete
a
successful
business
transaction.
The
ship
on
our
masthead
is
the
USS
Tenacious
--that
is
what
we
offer--we
work
for
you
to
complete
your
transaction
with complete dedication, professionalism and tenacity.
Industry
experience.
We
have
closed
a
significant
number of transactions within the last few years.
Extensive
buyer
contacts.
We
are
known
by
most
major
buyers
as
a
firm
that
represents
only
quality
companies.
This
gives
us
immediate
access
to
the
decision
makers
in
these
companies-that results in quick responses and action.
Completely
confidential.
We
work
with
great
care
to
make
sure
that
all
initial
contact
is
done
in
a
manner
that
prevents
anyone
from
knowing
who
we
represent.
R
L
Davidson
utilizes
a
two-step
marketing
approach
to
insure
confidentiality.
First
we
create
a
"Blind
Profile"
to
familiarize
potential
acquirers
with
our
client.
This
brief
overview,
which
is
non-specific
as
to
who
the
acquisition
candidate
is,
allows
prospects
to
determine
if
the
particular opportunity meets their strategic requirements.
Once
the
“Blind
Profile”
is
reviewed,
the
buyer
signs
a
Confidentiality
Agreement
(CA),
identifying
your
Company
only
by
a
pre-assigned
“Client
Number”
prior
to
receiving
any
additional
information.
After
signing
the
CA,
with
your
permission,
they
receive
a detailed Business Overview, which is created by R L Davidson.
Successful
transactions.
We
have
helped
sellers
over
the
years
achieve
their
goal
of
selling
their
business
at
the
value
they
want,
in
the
timeframe
they
want
and
with
a
minimal
amount
of
disruption.
We
market
attributes
not
valuations.
We
market
your
company
with
professionalism;
emphasizing
key
positive
factors
to
maximize
the
value---WE
NEVER
MARKET
PRICE.
We
always let the buyer speak to value first.
Contingent
Fee
Structure.
One
way
of
insuring
that
our
clients
receive
the
unsurpassed
service
is
through
our
fee
structure.
R
L
Davidson's
fee
is
100%
contingent
based
upon
the
completion
of
a
successful
transaction.
Our
way
of
insuring
a
transaction
is
completed
is
to
make
sure
you
are
confident
that
your
Company
is
receiving
the
best
deal
possible
in
the
marketplace.
Our
expertise
in
the
market,
combined
with
a
"limited
auction"
marketing
process,
assures
that
our
clients
receive
the
best
transaction
the
marketplace
will bear.
We
represent
you
and
your
company.
We
work
in
your
best
interest
at
all
times.
You
will
control
the
process.
Nothing
goes
to
anyone
without
having
a
NDA
in
place
and
with
your
specific
approval about who we send info and what is sent.
Expertise.
We
have
financial
expertise
that
is
used
to
provide
you
with
the
best
"estimate"
of
the
value
of
your
company
and
provides
guidance
in
all
aspects
of
the
deal.
This
will
include
assistance
with
price
negotiations,
LOI
negotiations,
Due
Diligence
process,
Agreement
negotiations
and
the
Closing
process.
We
offer
guidance
in
all
aspects
of
the
transaction.
This
combines
with
our
marketing
expertise
and
knowledge
of
the
potential
buyers
to
offer
you an extensive array of knowledge and services.
Why Hire Us?
Experienced and Professional
Selling
a
company
is
something
most
CEO/owners
do
only
once
in
their
lifetime.
It
is
a
very
complex
process.
The
best
way
to
achieve
the
results
you
want
from
this
process
is
to
hire
qualified
professionals
who
have
been
there
before.
We
can
provide
you
with
lists
of
things
you
should
know,
you
can
buy
many
books
on
the
subject
matter,
you
can
hire
an
attorney
or
accountant;
but
unless
you
get
advice
from
people
who
have
done
it
before you could make a very costly mistake.
Obtaining
the
highest
price
for
your
company
requires
a
systematic
approach
to
the
selling
process.
Thorough
preparation
we
can
ensure
fair
terms
and
a
favorable
price.
This
involves
preparing
the
company
for
sale,
writing
a
descriptive
selling
memorandum
that
attracts
acquirers,
selecting
potential
acquirers
from
throughout
the
world,
attracting
a
number
of
acquirers
to
compete
among
themselves,
negotiation
of
the
letter
of
intent,
providing
the
necessary
information
for
the
successful
acquirer’s
due
diligence
process,
negotiating
the
purchase
agreement
and
closing
the
transaction.
Each
step
in
the
process
requires
many
judgments
and
considerations,
while
you
need
to
remain
focused
on
running your company.
Update 2022
Are
deals
still
happening?
Yes,
and
no.
We
are
starting
to
see
renewed
interest
in
talking
about
transactions.
So,
deals
can
happen,
but
they
have
been
slowed.
The
slow
down
on
acquisitions
is
related
to
the
uncertainty
about
the
future.
But
many
of
the
people
we
talk
too
are
beginning
to
look
further
down
the
road
and
are
currently
looking
for
opportunities
that
can
be
accomplished in the short-term.
Within
our
industry
specialization
we
are
seeing
stable
activity.
We
are
currently
in
early
discussions
on
several
projects
and
anticipate
some
potential
transactions
this
year.
Business
acquisitions
are,
of
course,
based
on
the
future.
And
while
there
are
market
disruptions
right
now
most
industry
leaders
see good times in the near-term.
All
of
our
buyers
are
looking
for
the
right
deal
that
fits
within
their
current
organizations;
we
are
not
hearing
anyone
say
price
will
be
an
issue.
We
believe
the
near
“normal”
market
prices
of
the
last
few
years
will
still
be
prevalent
in
the
near-term
future.
We
stay
informed
on
day-to-day
conditions
within
our
industry
and
would
be
available
to
discuss
any
issues
about
doing
a
transaction
during
these unsettled times.
There
are
no
fees
to
our
clients
until
a
transaction
is
completed
and
all
communication
and
information
are
protected
by
confidentiality
agreements.
Opportunities
